The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms”) govern your access to and use of www.saimagesplus.com (the “Website”), including any content, functionality, software, and/or products and services offered on or through www.saimagesplus.com (collectively, the “Service” or “Products” or “Product”). By accessing or using the Service and or/Product(s), you acknowledge that you have read, understood, and agree to be bound by these Terms and to the collection and use of your information as set forth in our Privacy Policy, whether as a guest or a registered user of our Service. These Terms apply to all visitors, users, and others who access the Service (“Users”).

Please read these terms and conditions carefully before you start to use the Site. By using the Site, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these terms and conditions, you must not use the Site.

We may update these terms and conditions from time to time. The updated version will be indicated by an updated "Revised" date and the updated version will be effective as soon as it is accessible. If we make material changes to the terms and conditions, we may notify you either by prominently posting a notice of such changes or by directly sending you a notification. We encourage you to review our terms and conditions frequently to be informed at all times. The changes will apply to your use of the Site or products we supply. If you do not wish to accept the new terms, then you should not continue to use the Site. If you continue to use the Site after the date in which the changes come into effect, your use of the Site indicates your agreement to be bound by the new terms.

Changes to the Site

We may update the Site from time to time and may change the content at any time. However, please note that any of the content on the Site may be out of date at any given time, and we are under no obligation to update it. We do not guarantee that the Site, or any content on it, will be free from errors or omissions.

Accessing the Site

The Site is made available free of charge. We do not guarantee that the Site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue, or change all or any part of the Site without notice. We will not be liable to you if for any reason the Site or, a part of the service is unavailable at any time or for any period. Your access to the Site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can.

You are responsible for making all arrangements necessary for you to have access to the Site. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

Eligibility

By using our website and offered Services and products, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 18 years of age or older; and (d) your use of our services or products does not violate any applicable law or regulation.

Password(s) and your account info

You are entirely responsible for maintaining the confidentiality of your login name and passwords. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify us immediately if you suspect any unauthorized use of your account or access to your password by sending an e-mail to info@saimagesplus.com.You are solely responsible for any and all use of your account.

Content shared

You agree to only send us images for which you own the copyright (e.g., you took the photographs, or they were taken with your permission with your camera) or images which you are authorized to send to us. You agree not to send us any images which may be objectionable. You agree not to infringe the intellectual property rights of any third party. By sharing your images using the sharing facility via the links provided on our website or via email, you agree that the person or persons receiving the shared images / albums may edit and print any such images. Without this agreement, we would be unable to provide our design Services or product production. For example, without the right to modify your Content, we would not be able to digitally compress music, videos, or image files to satisfy technical requirements. You agree to be responsible for any claims, costs, expenses, or legal proceedings caused as a result of your use of this Service in contravention of this section.

Product Terms and Conditions

Binding contract

These Product Terms will not form a binding contract between you and Us for the purchase and supply of the Products until the following conditions have been met: (a) you have submitted your offer to buy certain Products (your “Order”) using the order facility provided; and (b) We notify you by e-mail that your Order for those Products has been accepted and/or (c) Any modifications, changes, substitutions etc. have been accepted and agreed to via email and (d) and any pricing variations have been notified and agreed to by both parties and (e) that we agree to supply the Products to you in accordance with specified method of delivery. Once a binding contract exists, we will supply goods that conform to your Order.

Availability

We will use reasonable efforts to respond to your Order(s) within a reasonable length of time, but the service/product is provided on an “as-is” and “as-available” basis, and we make no representation or warranty that the Service/Product offered will be accessible, or usable by you, or error free. We reserve the right without notice to you, to suspend or alter the operation of the Service/Product, at our sole discretion or for legal or technical reasons. We will give you as much notice as possible, prior to taking any such actions but prior notice may not always be feasible for a variety of reasons. All promotional offers (the “Promotion”) provided as part of the Service/Product from time to time are limited to one Promotion per customer. If you register multiple accounts, we reserve the right to withdraw the Promotion and cancel any related Orders.

Custom Designed or Pre-designed Products

In case you use our design services for us to design your albums or customized accessories/add-ons, you are responsible for the final checkout and review of the Custom Designed Product we share with you and approve it. It is your responsibility to perform a final proof of your Custom Designed Product for any spelling, date, alignment, or other related issues before the Custom Designed Product order is completed and sent for printing and binding.

Further, content sent to us as “pre-designed” we print it as-is. You are responsible for any design, spelling or other errors and mistakes. 

Please note that final pricing for your Custom Designed Product/or in some cases “pre-designed” product may change once the design is finalized, modified, and approved by you. Final price is determined based on final product dimensions, including but not limited to page count, page thickness, page finish, cover type, enhancements, size as discussed and agreed to with our design/order team. We will notify you of any such pricing changes as soon as we know and will expect the difference in price to be paid before finishing your final order.

Limited Warranty, Cancellations and Returns

We offer a limited warranty on our Products. Our Products are guaranteed to be free of material defects. In the event, that your Product is not free of material defects or is damaged in transit, we will replace such Product for you. To be eligible for a replacement product, please send us an email for replacement of defective or damaged products within 14 days of delivery. Make sure, the email includes - Your order number, description and images of the damaged product(s) and packaging. Please note that requests received after 14 days will not be entertained.

You can cancel an order at any time before we start printing your products. Once production starts, we will not be able to cancel the order. Also note that an order cannot be cancelled after the products have shipped. To cancel an order, you may send us an email with the subject “Cancellation” and include your order number. You will receive a full refund back on your credit card for the cancelled order.

Due to the custom and personalized nature of our Products, we cannot make returns for User-driven mistakes or creative choices (refer section on Custom Designed or Pre-designed Products). It is important that the Users carefully proof the content and order details of the Products for the following: (a) poor image quality including low resolution images or blurry/over or under exposed images that may be insufficient for printing; (b) text errors including mistakes in spelling, grammar, font choice or other text errors or omissions; (c) Product selection mistakes including product type (finish/thickness), size, cover options, color, and design layout; and (d) accidental omissions including blank pages, or empty photo boxes. Users should also note that image colors vary from computer monitor to computer monitor. We rely on our professionally calibrated printing services and therefore cannot be responsible for color variations that might result from computer screen differences.

Pricing and Product changes

We reserve full right to change the attributes, specifications, features, and prices of Products and services described or depicted on through the Service, are subject to change at any time without notice.

The prices payable for the Products that you order are clearly set out on the Site. If, by mistake, we have under-priced an item, we will not be liable to supply that item to you at the stated price, provided that we notify you before your order is accepted.

Shipping

All Products purchased from us are shipped and delivered to you by independent carriers not affiliated with, or controlled by, SAImagesPlus. Title to Products purchased, as well as the risk of loss for such Products, passes to you when we deliver these items to the carrier. Please refer to “Limited Warranty, Cancellations and Returns” section for our policy on handling in-transit damages.

Additionally, note that you are fully responsible for accuracy and completeness of shipping addresses you provide to us. We will not be responsible for any additional shipping charges incurred due to changes made after the initial shipment of the product.

Indemnity

You agree to defend, indemnify and hold harmless SAImagesPlus and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising out of or related to: (a) your use of and access to the Service, including any data or content transmitted or received by you; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (d) your violation of any applicable law, rule or regulation; (e) User Content or any other information or content that is submitted via your account including without limitation misleading, false or inaccurate information; (f) negligent or willful misconduct; and/or (g) any other party’s access and use of the Service with your unique username, password or other appropriate security code.

General

We will try to solve any disagreements quickly and efficiently. In the unlikely event that SAImagesPlus has not been able to resolve a dispute it has with you after 60 days, we each agree to resolve any claim, dispute, or controversy arising out of or in connection with or relating to these Terms and Conditions, or the breach or alleged breach thereof (collectively, “Claims”), by binding arbitration. In the unforeseen event, our disagreement needs to be if resolved via court proceedings, you must do so within the state of Georgia, USA.
